ClinDATC Software (“ClinDATC”) provides you with access to a variety of resources on various ClinDATC internet sites (the “Web Sites”), including documentations and other product information (collectively the “Documentation”), download areas, communication forums, and other services (collectively “Web Services”), and software, including developer tools and sample code (collectively “Software”). The Documentation, Web Services, and Software (including any updates, enhancements, new features and modules, and/or the addition of any new Web properties to the Web Site), are subject to the following Terms of Use (“TOU”)(“Terms”), unless we have provided those items to you under more specific terms, in with case, those more specific terms will apply to the relevant item. ClinDATC open source software products (“Product(s)”), standard maintenance and support services (“Support Service”) and/or professional consulting services, standard installation, integration and configuration services (“Professional Services”)(“Services”), and ClinDATC training, courses, and related Documentation (“Education Services”) are provided under ClinDATC’s Software License and Service Terms.

ClinDATC reserves the right to update the TOU at any time without notice to you. The most current version of the TOU can be reviewed by clicking on the “Terms of Use” hyperlink location on each Web Site. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, Documentation, Software, products, or Web Services obtained from the Web Sites, except as permitted by the TOU. By assessing, creating and contributing to any Services hosted at http://clindatc.com, and in consideration for the Services we provide to you, you acknowledge that you are fully aware of the contents of the TOU, and agree to abide by these Terms. Please read them carefully before participating or contributing to the Web Site.

1.0 Rights for the Submitted Content

1.1 Default Creative Commons Public License

Unless specified otherwise, any and all copyright-able work created by you and posted by you to any ClinDATC Web Sites and Web Services (collectively “Content”) is submitted under the terms of an Attribution-NonCommercial Creative Common License. Under this license, you permit anyone to copy, distribute, display, perform and create adaptations of your Content, royalty-free, on the condition that they credit your authorship each time they do so. Licensees may not use the work for commercial purposes unless they get your permission.

1.2 Option to Manage Intellectual Property Rights in a Private Section

Members may establish different permissions for access and use of contributions to a private section of the Web Site, for restricted access to limited users. Terms of use of private content are determined by its members, subject to the conditions of paragraphs 2 through 7 of this user agreement.

2.0 Use of Your Name

You grant permission to the administrators of the ClinDATC Website to use your name for purposes of identifying your Content on this website. You agree to represent yourself accurately. You acknowledge that misrepresentation may lead us, in our sole discretion, to cancel your use of the Services and delete any of your Content.

3.0 Conduct

3.1 Contributing

As a general matter, you may post content to sections of the website, so long as the content is not illegal, obscene, defamatory, threatening, infringing of intellectual property rights, invasive of privacy or otherwise injurious or objectionable. Administrators of the ClinDATC Website reserve the right to remove any material posted which is deemed in violation of the norms mentioned above.

You may not use the name “ClinDATC” to endorse or promote any product, opinion, cause or political candidate without express written permission from ClinDATC. Representation of your personal opinions as institutionally endorsed by the ClinDATC Website is strictly prohibited.

By posting content on the ClinDATC website, you warrant and represent that you either own or otherwise control all of the rights to that current, including,without limitation, all the rights necessary for you to provide, post, upload, input or submit the content, or that your use of the content is a protected fair use. If you do not ahve such rights, you agree to link to such material without posting any copies to the ClinDATC Website server. You represent and warrant also that your content is accurate, to the best of your knowledge, that your content does not violate these Terms, and that you will indemnify and hold ClinDATC harmless for any and all calims resulting from content you supply.

You acknowledge that ClinDATC does not pre-screen or regularly review posted content, but that it shall have the right to remove or modify any content on the site at its sole discretion.

You understand that all content posted to http://clindatc.com is the sole responsibility of the individual who originally posted the content. You understand, also, that all opinions expressed by users of this site are expressed strictly in their individual capacities, and not as representatives of ClinDATC.

You agree that CLinDATC will be liable, under any circumstances and in any way, for any errors or omissions, loss or damage of any kind incurred as a result of use of any content posted on this site. You agree that you must evaluate and bear all risks associated with the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

3.3 Use of Personal Information

ClinDATC expressly prohibits the gathering and use of personal information that may appear on the CLinDATC Website.

3.4 Children

Collecting personal information from children under the age of 13 is prohibited. No Content should be directed toward such children without the express written permission of OpenClinica Website administrators.

4.0 Disclaimer of Warranties and Limitation of Liability

This site is provided on an “as is” and “as available” basis. The ClinDATC Website and ClinDATC make no representations or warranties of any kind, express or implied, as to the site’s operation or the information, content or materials included on this site. To the full extent permissible by applicable law, the administrators of the ClinDATC Website and ClinDATC hereby disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for any particular purpose. Neither the ClinDATC Website nor ClinDATC will be liable for any damages of any kind arising from the use of or inability to use this site. You expressly agree that you use this site solely at your own risk.

The contents herein should not be construed in any way, shape, or form as legal advice. ClinDATC assumes no liability or responsibility for users’ actions and DISCLAIMS ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM, ARISING OUT OF OR ANY WAY RELATED TO USE OF THIS INFORMATION.

6.0 Modification of these Terms of Use

ClinDATC reserves the right to change, at any time, at its sole discretion, the Terms under which these Services are offered. You are responsible for regularly reviewing these Terms. Your continued use of the Services constitutes your agreement to all such Terms.
